Intent and Use of Funds
The purpose of this agreement is to summarize the mutual understating of Sponsor
and Bethlehem Food Co-op (BFC) regarding an irrevocable and immutable sponsorship to the
BFC for the benefit of the Co-op’s store construction and operation. This document will be
made part of BFC’s permanent records and is intended to serve as an agreement for Sponsor
recognition and use of funds.

Recognition
All sponsors will receive type treatment (text only) for recognition on signage. The Sponsor agrees to allow BFC to publish his/her/their name(s) in various publications and press releases unless an anonymous naming recognition has been requested. For recognition purposes, the Sponsor shall be identified as the name included on this form. Design and exact placement will be at the discretion of BFC’s Board of Directors.

Length of Terms
Sponsor will receive naming rights recognition for a minimum of 10 years from the
time of store opening.

Unforeseen Circumstances
In the event that a space-use changes or renovation affects the naming and form of recognition
contemplated in this Agreement, BFC will inform the Sponsor if possible, and BFC and the
Sponsor will consult as to options available at that time. In the event that the sponsoring business or entity ceases operations before the agreed term, BFC is not obligated to recompense the sponsor. In the event that the entire amount of the Sponsorship is not received by BFC, then BFC
reserves the right to remove the Sponsor’s name from the installation and any place the Sponsor’s name appears, and/or offer the Sponsor an alternate naming opportunity and benefits commensurate with the Sponsor’s level of funding.

Relationship of the Parties
The parties agree that the Sponsor shall retain its autonomy in making business and personal
decisions. However, the Sponsor understands that the reputation of BFC cannot be associated
with any immoral or unethical activities, or activities which display a lack of integrity, and
agrees that BFC shall retain its autonomy in making these evaluations.

Miscellaneous
This sponsorship agreement is executed in and shall be governed by the laws of the
state of Pennsylvania. This sponsorship agreement may be amended at any time by written agreement signed by each party. The Sponsor will be invoiced for the full amount of the sponsorship upon signing this agreement.
